Terms & Conditions – Pi-12 Token

These Terms and Conditions (“Terms”) govern the purchase, holding, and engagement with Pi-12 Tokens, as issued by NEUTRINO Inc. USA and its European Representative Office, Neutrino Energy Group Malta (“we,” “our,” or “us”). By participating in the Pi-12 initiative, you (“Participant” or “you”) acknowledge and agree to these Terms. Please read them carefully before proceeding.


1. Definitions

1.1 Pi-12 Token: A blockchain-based utility token designed exclusively as a means of supporting the Pi-12 initiative and its applications across land (Pi Car), water (Nautic Pi), and air (Pi Fly / UAV), based on neutrinovoltaic energy.

1.2 Utility Function: Pi-12 Tokens provide access to certain functions within the Pi-12 ecosystem, including but not limited to engagement in licensed projects, participation in partner programs, and use as a medium of exchange with affiliated service providers.

1.3 Smart Contract: A blockchain-based protocol on the Solana blockchain used to manage the issuance, transfer, and utility functions of Pi-12 Tokens.

1.4 Participant: An individual or entity that purchases, holds, or otherwise engages with Pi-12 Tokens under these Terms.


2. Purpose and Nature of the Pi-12 Token

2.1 The Pi-12 Token is intended solely as a utility token to support the Pi-12 initiative and provide access to related applications.

2.2 The Pi-12 Token is not, and should not be construed as:

  • An investment opportunity, financial product, or security;

  • A vehicle for deriving guaranteed financial returns or speculative gains; or

  • Conferring ownership, governance, or profit-sharing rights within NEUTRINO Inc. USA, Neutrino Energy Group Malta, or any associated entities.

2.3 Participants acknowledge that Pi-12 Tokens serve as a mechanism for supporting the initiative and accessing certain ecosystem functions, not as a financial instrument.


3. Token Sale and Pricing

3.1 Pre-Sale Period: The Pi-12 Token pre-sale runs from 1 August 2025 to 31 July 2026.

3.2 Pricing: The initial pre-sale price begins at €0.01 per token and will increase gradually during the pre-sale. The planned post-pre-sale target value is €1.00 per token, subject to market, regulatory, and project developments.

3.3 Payments: Accepted payment methods include cryptocurrencies such as Solana (SOL), Ethereum (ETH), and Bitcoin (BTC), as well as bank transfers where applicable.

3.4 Liquidity Pool: A defined portion of project revenues and license fees will be allocated to support the Pi-12 Token liquidity pool, ensuring long-term stability.


4. Compliance and Due Diligence

4.1 Participant Responsibility: Participants are solely responsible for ensuring that their purchase and holding of Pi-12 Tokens comply with the laws and regulations of their country of residence or operation.

4.2 Legal Compliance: We assume no liability for any legal or regulatory consequences arising from a Participant’s failure to comply with applicable laws.

4.3 Due Diligence: Participants are strongly encouraged to conduct their own research (DYOR) and consult with qualified legal, financial, or tax advisors before purchasing or holding Pi-12 Tokens.


5. Risk Disclosures

5.1 Regulatory Risks: The regulatory environment for blockchain-based tokens is evolving and may affect the availability, transfer, or utility of Pi-12 Tokens.

5.2 Technical Risks: Blockchain technology entails risks, including but not limited to:

  • Smart contract vulnerabilities;

  • Wallet compatibility issues;

  • Loss of access due to theft, loss of private keys, or human error.

5.3 Market Risks: The perceived value of Pi-12 Tokens may fluctuate due to external factors such as demand, technological adoption, and participant behavior.

5.4 Participants expressly acknowledge and accept these risks and understand that no guarantees of value, liquidity, or usability are provided.


6. Refunds and Cancellation Policy

6.1 Participants may request refunds within 14 calendar days of purchase, provided the tokens remain untransferred and unused.

6.2 We reserve the right to cancel transactions, void allocations, or refund payments at our sole discretion in cases of fraud, error, or breach of these Terms.


7. Independence and Neutrality

7.1 The Pi-12 initiative operates independently under NEUTRINO Inc. USA and Neutrino Energy Group Malta as a technology-driven project.

7.2 The initiative is not affiliated with governments, political entities, or special interest groups. Its mission is to promote sustainable, emissions-free energy technologies for mobility applications in land, water, and air.

7.3 Participation does not constitute a partnership, agency, or joint venture relationship between Participants and NEUTRINO Inc. USA, Neutrino Energy Group Malta, or any associated entities.


8. Participant Obligations

8.1 Participants are responsible for:

  • Providing accurate and valid wallet addresses;

  • Securing private keys and access credentials;

  • Ensuring lawful use of Pi-12 Tokens in accordance with applicable laws.

8.2 Participants agree to promptly notify us of any issues or errors affecting their participation in the Pi-12 initiative.


9. Limitation of Liability

9.1 We shall not be liable for any indirect, incidental, or consequential damages arising from:

  • Regulatory changes affecting Pi-12 Tokens;

  • Wallet or blockchain errors;

  • Market fluctuations affecting token valuation.

9.2 Our total liability is limited to the monetary value of Pi-12 Tokens purchased directly from us.


10. Governing Law and Jurisdiction

10.1 These Terms are governed by the laws of Malta.

10.2 Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malta.


11. Amendments

11.1 We reserve the right to update these Terms at any time. Material changes will be communicated via the official Pi-12 Token website.
